Santoku Knives Affiliate Program Terms of Service Agreement

By applying to participate in the Santoku Knives Affiliate Program (the “Program”), you are agreeing to be bound by the following terms and conditions (the “Agreement”). Please read this Agreement carefully before submitting your application.

1. Approval or Rejection of the Application:
Santoku Knives reserves the right to approve or reject any Affiliate Program Application at our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Application.

2. Commissions:
Commissions will be paid on a monthly basis. To qualify for a commission, the referred account must remain active for a minimum of 67 days, considering a 60-day return period. Self-referrals are not allowed, and you will not receive a commission on your own purchases. There is a limit of one commission per referral. If a customer clicks on your affiliate link and makes multiple purchases, you will receive a commission on the first order only. Payments will only be sent for transactions that have been successfully completed. Transactions resulting in chargebacks or refunds will not be eligible for commission. Santoku Knives reserves the right to cancel commissions for transactions that violate the terms and conditions of this Agreement.

3. Termination:
Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:

  • Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
  • Spamming (mass email, mass newsgroup posting, etc.).
  • Advertising on sites containing or promoting illegal activities.
  • Failure to disclose the affiliate relationship for any promotion.
  • Violation of intellectual property rights. Santoku Knives reserves the right to require license agreements from those who employ trademarks of Santoku Knives to protect our intellectual property rights.
  • Offering rebates, coupons, or other forms of promised kickbacks from your affiliate commission as an incentive. Adding bonuses or bundling other products with Santoku Knives, however, is acceptable.
  • Self-referrals, fraudulent transactions, suspected Affiliate fraud.

In addition to the foregoing, Santoku Knives reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or no reason.

4. Affiliate Links:
You may use graphic and text links both on your website and within your email messages. You may also advertise the Santoku Knives site in online and offline classified ads, magazines, and newspapers.

5. Coupon and Deal Sites:
Santoku Knives occasionally offers coupons to select affiliates and to our newsletter subscribers. If you are not pre-approved/assigned a branded coupon, then you are not allowed to promote the coupon.

5.1 Misleading Text and Imagery:
Affiliates may not use misleading text on affiliate links, buttons, or images to imply the availability of deals not currently authorized. All promotional materials must accurately represent the offers available.

5.2 Bidding on Brand Terms:
Affiliates are prohibited from bidding on “Santoku Knives Coupons,” “Santoku Knives Discounts,” or any other phrases implying that coupons or discounts are available for Santoku Knives products on any search engines.

5.3 Pop-ups and Hidden Actions:
Affiliates may not generate pop-ups, pop-unders, iframes, frames, or any other seen or unseen actions that set affiliate cookies unless the user has expressed a clear and explicit interest in activating a specific saving by clicking on a clearly marked link, button, or image for that particular coupon or deal. The affiliate link must direct the visitor to the Santoku Knives website.

5.4 Visibility of Deals and Coupons:
Users must be able to see coupon, deal, or savings information and details before an affiliate cookie is set. Affiliates are prohibited from using phrases like “click here to see coupons and open a window to merchant site” without displaying the coupon or deal information prior to setting a cookie.

5.5 Restrictions on Discount Code Promotion:
Affiliates participating in the Shopify Collabs program are not allowed to advertise their unique discount codes on search engines or any third-party affiliate or coupon sites. Affiliates are permitted to promote their codes on their own social media accounts, blogs, and link trees as mentioned in their Shopify Collabs Application. Santoku Knives reserves the right to remove commissions and discounts related to discount codes without prior notice if these terms are violated.

5.6 Prohibition of Misleading Click Prompts:
Affiliate sites may not display prompts such as “Click for Deal/Coupon” or any variations thereof when no coupons or deals are available. Affiliates found to be using such misleading prompts will be removed from the Program immediately.

6. Pay Per Click (PPC) Policy:
PPC bidding is NOT allowed without prior written permission from Santoku Knives. Affiliates engaging in PPC advertising must adhere to the following guidelines:

  • Do not bid on branded terms, including misspellings and variations, without explicit permission.
  • Ensure that all PPC ads lead directly to your own website or a landing page that complies with this Agreement.
  • Do not use Santoku Knives’ URL as the display URL in any PPC ads.

7. Liability:
Santoku Knives will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages.

7.1 Limitation of Liability:
Santoku Knives will not be liable for any incidental, indirect, consequential, special, punitive, or exemplary damages of any kind, regardless of the legal theory, and even if Santoku Knives had reason to know, or knew, of the possibility of such damages, including, but not limited to, loss of revenue, commissions, or other financial losses.

7.2 No Warranties:
Santoku Knives does not make any expressed or implied warranties with respect to the Program and/or the products sold by Santoku Knives. We do not guarantee that the operation of the Program and/or our website(s) will be error-free, and we will not be liable for any interruptions or errors.

7.3 Cap on Liability:
You agree that in no event shall Santoku Knives’ aggregate liability, whether in tort, contract, or otherwise (including negligence), even if having been advised of the possibilities of such damages, exceed the total amount payable to you under this Agreement within the previous three (3) months.

8. Term of the Agreement:
The term of this Agreement begins upon your acceptance in the Program and will end when your Affiliate account is terminated.

9. Indemnification:
 You agree to indemnify and hold harmless Santoku Knives and its affiliates, officers, directors, employees, and agents, from any and all liabilities, damages, fines, judgments, claims, costs, losses, and expenses arising out of or related to your breach of this Agreement or your activities in connection with the Program.

10. Electronic Signatures Effective:
This Agreement is an electronic contract that sets out the legally binding terms of your participation in the Santoku Knives affiliate program. You indicate your acceptance of this Agreement and all of the terms and conditions contained or referenced in this Agreement by completing the Santoku Knives Affiliate Program application process. This action creates an electronic signature that has the same legal force and effect as a handwritten signature.
